Terms of Service

These Terms of Service ("Terms") govern the use of the AlphaLearn Learning Management System ("LMS", "Service") provided by Horizzon Information Technologies Private Limited ("AlphaLearn", "we", "our", or "us") via alphalearn.com, its subdomains, and any custom domains configured by the Customer to access the Service (collectively, "Website").
By accessing or using the Service, you ("Customer", "you", "your") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service and License
1.1 What We Provide
AlphaLearn is a cloud-based, multi-tenant SaaS learning management system. We provide access to the platform on a subscription basis. Any custom feature development or professional services are governed by a separate Statement of Work and do not affect the terms of your subscription.
1.2 License Grant
Subject to your compliance with these Terms and timely payment of fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription term, in accordance with your plan.
1.3 Binding Agreement
These Terms apply from the moment you access the Service, including during any free trial. Our Privacy Policy is incorporated by reference.
2. Customer Data and Intellectual Property
2.1 Your Data
You retain full ownership of all content, data, and materials you upload to the Service ("Customer Data"). You grant us a limited licence to host, store, and process Customer Data solely to provide the Service.
2.2 Your Responsibility for Data
You are responsible for:
- The accuracy, legality, and quality of Customer Data
- Obtaining all necessary rights, permissions, and consents before uploading content
- Maintaining your own independent master copies of all Customer Data, including course materials, assessments, and learner records, even if already uploaded to the Service
- Managing your users' access and activity within the Service
We strongly advise you to keep offline or independent backups of all important data. The Service is not a substitute for your own data management practices.
2.3 AlphaLearn IP
We own all rights in the LMS software, platform, and related materials. You may not modify, copy, reverse-engineer, or create derivative works from the Service.
2.4 Feedback
If you provide suggestions or feedback about the Service, we may use it to improve the platform without restriction or compensation to you.
3. Security and Data Protection
3.1 Our Measures
We maintain appropriate technical and organisational controls to protect Customer Data, including encryption at rest and in transit, access controls, and incident response procedures aligned with ISO/IEC 27001.
3.2 Your Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at helpdesk@alphalearn.com if you suspect unauthorised access.
3.3 Data Confidentiality
We will not access, use, or disclose Customer Data except as necessary to provide the Service, address security issues, comply with legal obligations, or with your explicit authorisation.
4. Acceptable Use
4.1 Prohibited Activities
You agree not to:
- Use the Service for unlawful, harmful, or misleading purposes
- Upload malware or interfere with the Service or other customers
- Send unsolicited or spam communications via the Service
- Attempt to gain unauthorised access to any systems or data
- Reverse-engineer, decompile, or extract source code from the Service
- Resell or sublicence access to the Service without our written consent
- Misrepresent your identity or affiliation
4.2 Communication Responsibility
When using the Service to send communications (email, SMS, WhatsApp, etc.), you confirm that you have obtained all necessary permissions from recipients and that such communications comply with applicable laws.
5. Availability and Backups
5.1 Availability
We use commercially reasonable efforts to maintain high availability. The Service may be temporarily unavailable due to scheduled or emergency maintenance, infrastructure outages, or circumstances beyond our reasonable control. We do not guarantee uninterrupted or error-free operation.
5.2 Platform Backups
We perform daily system backups for disaster recovery purposes, stored on secure AWS infrastructure within India. Platform backups are intended for service restoration and are not a substitute for your own data backups. You are solely responsible for maintaining independent copies of your Customer Data, including all uploaded course materials.
6. Payment
6.1 Fees
You agree to pay all fees in accordance with your subscription plan and Purchase Order. Fees are billed in advance and are non-refundable except as required by law.
6.2 Usage Beyond Plan Limits
If your usage exceeds plan limits (users, storage, or bandwidth), we may charge additional fees at prevailing rates.
6.3 Non-Payment
If payment is not received by the due date, access may be suspended or terminated automatically.
6.4 Price Revisions
We may revise pricing with at least 30 days' notice before your next renewal date.
7. Support
Technical support is available Monday to Friday, 10:00 AM to 6:00 PM IST (excluding public holidays), via our built-in helpdesk. We use commercially reasonable efforts to respond and resolve issues based on severity.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES.
9. Limitation of Liability
9.1 Exclusion of Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, ALPHALEARN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
9.2 Aggregate Cap
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE FEES YOU PAID IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.3 Customer Data Loss
ALPHALEARN IS NOT LIABLE FOR LOSS OF CUSTOMER DATA INCLUDING COURSE MATERIALS, LEARNER RECORDS, OR ASSESSMENTS. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN COPIES OF ALL DATA UPLOADED TO THE SERVICE.
9.4 Allocation of Risk
These liability provisions reflect a fair allocation of risk between the parties and are essential to the basis of the agreement. They apply regardless of the form of action and even if any limited remedy fails of its essential purpose.
10. Term and Termination
10.1 Term
These Terms take effect when you first access the Service and continue for the duration of your subscription term as set out in your Purchase Order.
10.2 Termination by Customer
You may terminate your subscription in accordance with your plan. Prepaid fees are non-refundable.
10.3 Termination by AlphaLearn
We may suspend or terminate access if you violate these Terms, fail to pay fees on time, or use the Service in a manner that creates security, operational, or legal risk.
10.4 Effect of Termination
Upon termination:
- Your access to the Service ends immediately
- You should export your data before the termination date. Standard user and report data is exportable from the platform at any time during your subscription
- Course materials uploaded to the platform are not available for bulk download. Maintain your own master copies
- We retain Customer Data for 60 days after termination, then permanently delete it from production systems; backup copies are overwritten within a further 30 days
- Certain metadata or log records may be retained for compliance or legal purposes
10.5 Survival
Provisions relating to payment, IP ownership, confidentiality, limitation of liability, and governing law survive termination.
11. Third-Party Integrations
The Service supports integrations with third-party tools (e.g., Zoom, MS Teams, Google Meet, YouTube, WhatsApp, GoToWebinar, SCORM, LTI). Any data shared through these integrations is governed by the respective third party's terms and privacy policy. We are not responsible for third-party services or their data practices.
12. General
12.1 Modification of Terms
We may update these Terms by posting a revised version on our website. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
12.2 Governing Law
These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
12.3 Assignment
You may not assign your rights or obligations without our prior written consent. We may assign these Terms to affiliates or successors.
12.4 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Purchase Order, constitute the entire agreement between you and AlphaLearn regarding the Service.
12.5 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full effect.
12.6 Force Majeure
Neither party is liable for delay or failure caused by circumstances beyond reasonable control, including natural disasters, government action, or internet or power outages.
